The West Side Rail Yards is the site of Manhattan’s largest-scale planned development. At 26.2 acres, the rail yards site is twice the size of Ground Zero, and larger than Atlantic Yards in Brooklyn. The site stretches from 10th Avenue to 12th Avenue, and between 30th and 33rd Streets. It is owned by the MTA, a state agency, but is slated for private development, determined by an MTA-run bidding process. The site is a currently a working rail yard, serving as a holding terminus for Long Island Rail Road trains.

7. Upon satisfaction of both Seller and Buyer the Buyer will transfer the agreed amount to Seller’s Bank via Swift /Wire Transfer or MT 103 or Cash.
• The Commissions will be paid immediately and without delay to each appointed Paymaster or Beneficiary after each delivery as per terms and conditions of the IMFPA (Fully signed IMFPA to accompany signed SPA).
• Buyer will be responsible for all export taxes. Government Documentation, destination transportation, refinery cost, and other expenses in the Seller’s country, while the expenses will be deducted from the total amount of the seller after final assay in buyer refinery
• Buyer will be responsible for all import taxes, Government Documentation, destination transportation, refinery cost, and other expenses in the buyer’s country.
• Commercial invoices shall be signed as accepted by Buyers.
DELIVERY
The Buyer, in collaboration with the Seller, will ensure that all arrival times are in accordance with the times of operation of the Refinery, so that the goods can be cleared and delivered timorously (10am) to the aforementioned Refinery for same day payment, the buyer must pay the local transport to the seller to deliver the Cargo to the buyer destined refinery anywhere in the World.
NOTICES
All and any notices required to be given by one Party to the other Party to this Agreement, shall be in writing, copied by facsimile or email, directly to the Parties referenced herein.
DOCUMENTATION
Each shipment and delivery shall be identified with all appropriate contract reference codes and numbers.
The Seller must provide the following documents to the Buyer via email, prior to the arrival of tie goods or at delegate’s arrival at the airport destination:
• Four originals of Commercial Invoices in favour of the Buyer,
• Certificate of Origin.
• Certificate of Ownership.
• Customs Declaration Form(s) (supplied by Buyer, if applicable).
• Declaration that the product is free and clear and of non-criminal origin,
Unencumbered and free of any liens, transferable and exportable.
• Export Permit.
• Full set Air Waybill marked “Air Freight Pre-Paid” and marked “VALUE CARGO”
• Gross weight and net weight of AU Product. (Packing list)
TITLE OF GOODS
The title to the gold bars shall pass from the Seller to the Buyer immediately upon clearing Customs and will go into the account of the Buyer at the Refinery at Sellers location.
The Buyer will not take legal ownership until he has paid the agreed USD $ Price as per (SPA) after Assay in Seller’s location i.e Accra Ghana
CLEAR TITLE
Seller confirms and warrants that the Title of the gold bars to be sold herein will be free and clear of any and all liens and/or encumbrances and Seller states that the gold bars are not of any terrorist and/or criminal origin.
TOTAL AGREEMENT
This Agreement supersedes any and all prior Agreements and represents the entire Agreement between the parties.
No changes, alterations or substitutions shall be permitted unless the same shall be notified in writing and signed by both parties.
EXECUTION OF THIS AGREEMENT
The terms of this Agreement shall be Confirmed and signed by the Buyer and the Seller via
facsimile or e-mail.
Said executed facsimile or email shall be binding and initiates and concludes the legal liabilities between Buyer and Seller of this FCO.
